Terms and Conditions
Effective Date: July 21, 2026
These Terms and Conditions (the “Terms”) govern your access to and use of https://pulmonologybillingservice.com, including its pages, content, features, and quote-request forms (collectively, the “Site”). The Site is operated by Pulmonology Billing Services (“PBS,” “we,” “us,” or “our”).
Please read these Terms carefully. They contain an agreement to resolve most disputes through binding individual arbitration, as well as a class-action waiver. If you do not agree to these Terms, do not access or use the Site.
1. Acceptance of These Terms
By accessing or using the Site, or by clicking a button or checking a box indicating your acceptance when submitting a form, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.
If you access or use the Site on behalf of a physician, medical practice, hospital, healthcare organization, company, or other entity, you represent and warrant that you have authority to bind that entity to these Terms. In that circumstance, “you” and “your” refer to both you and that entity.
2. Eligibility and Intended Users
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Site. The Site is intended for healthcare service providers and their authorized representatives seeking information about third-party medical-billing services. The Site is not directed to patients or consumers seeking medical care.
3. Lead-Generation Site; No Billing Services
PBS operates the Site as a lead-generation and referral platform. The Site allows eligible healthcare service providers to request information or quotes from independent medical-billing professionals or companies (each, a “Billing Provider”).
PBS does not itself provide medical billing, coding, claims submission, collections, reimbursement, credentialing, compliance, accounting, legal, clinical, or other professional services through the Site. Submitting a request does not create a services agreement, agency relationship, fiduciary relationship, partnership, joint venture, employment relationship, or other professional relationship between you and PBS or any Billing Provider.
Any services offered by a Billing Provider are governed solely by a separate agreement between you and that Billing Provider. PBS is not a party to that agreement and is not responsible for either party’s acts, omissions, representations, fees, performance, or obligations.
4. Quote and Referral Requests
You may use the Site to request a quote or information from one or more Billing Providers. By submitting a request, you:
- certify that the information you submit is accurate, current, and complete;
- authorize PBS to transmit the information in your request to Billing Providers and service providers as reasonably necessary to respond to and administer your inquiry;
- authorize PBS and responding Billing Providers to contact you at the telephone number, email address, or other contact information you provide concerning your inquiry, including through calls, emails, and text messages where permitted by law; and
- acknowledge that submitting a request does not guarantee that any Billing Provider will respond, offer services, meet any particular qualifications, or offer any particular price, terms, or result.
Consent to be contacted is not a condition of purchasing any service. Message and data rates may apply to text messages. You may ask not to receive further marketing communications as described in the applicable communication or in our Privacy Policy; however, we may still send non-marketing communications reasonably related to an active request or as permitted by law.
PBS may accept, reject, suspend, or discontinue any request or referral at its discretion, subject to applicable law.
5. Independent Billing Providers; Your Due Diligence
Billing Providers are independent third parties and are not employees, agents, partners, or representatives of PBS. Unless expressly stated otherwise, PBS does not sponsor, control, supervise, credential, certify, or endorse any Billing Provider.
PBS does not guarantee or warrant a Billing Provider’s identity, licensing, certification, insurance, experience, legal or regulatory compliance, cybersecurity, service quality, pricing, availability, or fitness for your needs. You are solely responsible for investigating and selecting any Billing Provider, reviewing references and qualifications, negotiating appropriate service terms, and obtaining legal, compliance, and other professional advice before engaging a Billing Provider.
You should require any selected Billing Provider to enter into all agreements appropriate to the engagement, which may include a written services agreement and, where protected health information will be created, received, maintained, or transmitted, a HIPAA-compliant business associate agreement.
6. No Protected Health Information
Do not submit protected health information (“PHI”), patient records, patient names, claim-level data, medical record numbers, Social Security numbers, payment-card information, or other sensitive patient information through the Site or its general inquiry and quote-request forms.
The Site is not represented as a system for transmitting or storing PHI, and use of the Site does not create a business associate relationship between you and PBS. If you submit prohibited information, you do so without our authorization. We may delete, quarantine, or restrict access to such information and take other reasonable protective action.
7. No Professional Advice or Guaranteed Results
Site content is provided for general informational and lead-generation purposes only. It is not medical, billing, coding, reimbursement, compliance, legal, tax, accounting, or other professional advice. You should not act or refrain from acting based solely on Site content.
PBS does not guarantee reimbursement, claim acceptance, revenue improvement, regulatory compliance, cost savings, profitability, or any other result from using the Site or engaging a Billing Provider. Examples, estimates, testimonials, and descriptions of potential outcomes are illustrative only and are not promises of actual or typical results.
8. Affiliate and Compensation Disclosure
PBS may have financial relationships with Billing Providers, vendors, advertisers, or other third parties identified or linked on the Site. PBS may receive referral fees, commissions, advertising fees, lead fees, or other compensation when you submit an inquiry, are matched with a third party, click certain links, purchase a product or service, or otherwise interact with a third party.
This compensation may influence which Billing Providers, products, services, links, or offers appear on the Site and their placement. Not every listed or linked third party necessarily compensates PBS, and the Site may not identify every available provider or option. Compensation does not increase the price you pay unless expressly disclosed.
An affiliate or compensated relationship does not constitute a guarantee or endorsement. You must independently evaluate any third party and its products or services. Where required, PBS will also place a clear and conspicuous compensation disclosure near the applicable recommendation, endorsement, or affiliate link. If a page-specific disclosure conflicts with this section, the more specific disclosure controls for that content.
9. Acceptable Use
You may use the Site only for lawful business purposes and in accordance with these Terms. You may not:
- violate any applicable law, regulation, contractual obligation, or third-party right;
- submit false, misleading, fraudulent, incomplete, or unauthorized information;
- submit PHI or other information prohibited by Section 6;
- impersonate another person or entity or misrepresent your authority or affiliation;
- use automated means to scrape, crawl, copy, index, harvest, or monitor the Site, except as permitted by a standard search-engine protocol or our written consent;
- probe, scan, test, circumvent, or interfere with any Site security or authentication measure;
- introduce malware, harmful code, excessive traffic, denial-of-service activity, or other disruptive material;
- copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Site except as applicable law expressly permits; or
- use Site content, contact information, or referrals for spam, unlawful solicitation, competitive data harvesting, or any abusive purpose.
We may investigate suspected violations and cooperate with law enforcement or regulators where appropriate.
10. Intellectual Property
The Site and its content—including text, graphics, logos, designs, software, databases, arrangement, and compilation—are owned by or licensed to PBS and are protected by intellectual-property and other laws. Subject to these Terms, PBS grants you a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to access and use the Site for your internal business evaluation of the services described on the Site.
No right, title, or interest in the Site or its content is transferred to you. All rights not expressly granted are reserved. Names, logos, and marks of third parties remain the property of their respective owners and their appearance does not necessarily imply endorsement.
If you send PBS suggestions, ideas, or other feedback about the Site, you grant PBS a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use and incorporate that feedback without restriction or compensation, provided that this provision does not grant PBS rights in PHI or confidential information submitted contrary to these Terms.
11. Third-Party Websites and Services
The Site may contain links to or integrations with third-party websites, products, advertisements, and services. PBS does not control and is not responsible for third-party content, availability, security, privacy practices, terms, products, services, or conduct. A link does not necessarily imply endorsement. Your use of third-party resources is at your own risk and is governed by the third party’s terms and policies.
12. Privacy
Our collection and use of personal information are described in our Privacy Policy. The Privacy Policy is separate from these Terms, but your use of the Site is subject to both documents. Internet transmissions and electronic storage cannot be guaranteed to be completely secure; therefore, you should use appropriate care when deciding what information to submit.
13. Site Availability and Changes
We may modify, suspend, restrict, or discontinue any part of the Site at any time without liability. We do not guarantee that the Site or any content will be available, uninterrupted, timely, secure, complete, current, or error-free. We may correct errors or omissions without notice.
14. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, ITS CONTENT, REFERRALS, LINKS, AND ALL INFORMATION MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PBS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, THE “PBS PARTIES”) DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
THE PBS PARTIES DO NOT WARRANT THAT THE SITE WILL MEET YOUR REQUIREMENTS; THAT ANY BILLING PROVIDER WILL RESPOND OR BE SUITABLE; THAT INFORMATION OR REFERRALS WILL BE ACCURATE, COMPLETE, OR CURRENT; OR THAT ANY ERROR, DEFECT, HARMFUL COMPONENT, OR SECURITY ISSUE WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME EXCLUSIONS MAY NOT APPLY TO YOU.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PBS PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, DATA, USE, GOODWILL, OR OPPORTUNITY; COST OF SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM OR RELATED TO A BILLING PROVIDER OR OTHER THIRD PARTY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE PBS PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO PBS FOR USE OF THE SITE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
THE LIMITATIONS IN THESE TERMS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT LIMIT LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY TO THE EXTENT CAUSED BY FRAUD, WILLFUL MISCONDUCT, OR OTHER LIABILITY THAT APPLICABLE LAW PROHIBITS THE PARTIES FROM EXCLUDING.
16. Indemnification
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless the PBS Parties from and against third-party claims, demands, proceedings, losses, liabilities, damages, judgments, settlements, penalties, costs, and reasonable attorneys’ fees arising from or relating to: (a) your violation of these Terms or applicable law; (b) information or material you submit through the Site; (c) your misuse of the Site; (d) your infringement or violation of another person’s rights; or (e) your dealings with a Billing Provider or other third party.
PBS may assume control of the defense of a matter subject to indemnification, in which case you will reasonably cooperate. You may not settle a claim in a manner that admits fault by or imposes obligations on a PBS Party without PBS’s prior written consent.
17. Suspension and Termination
We may suspend or terminate your access to the Site, block a request, or take other reasonable action if we believe you have violated these Terms, created risk or potential legal exposure, or misused the Site. Upon termination, provisions that by their nature should survive will survive, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous terms.
18. Governing Law
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. The Federal Arbitration Act governs the interpretation and enforcement of Section 19.
19. Binding Individual Arbitration and Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO HAVE A COURT OR JURY DECIDE CLAIMS.
19.1 Informal Dispute Resolution
Before starting arbitration, the complaining party must send the other party a written notice describing the claimant’s name and contact information, the facts and legal basis of the dispute, and the relief requested. Notices to PBS must be sent to contact@billingsimplified.com. The parties will attempt in good faith to resolve the dispute for at least 30 days after receipt of a complete notice. Any applicable limitations period will be tolled during that 30-day period.
19.2 Agreement to Arbitrate
Except for the matters identified in Section 19.3, any dispute, claim, or controversy arising out of or relating to the Site, these Terms, a quote or referral request, or the relationship between you and PBS—including claims based in contract, tort, statute, fraud, misrepresentation, or any other legal theory—will be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules then in effect. The arbitration will be conducted by one neutral arbitrator.
Unless the parties agree otherwise, the arbitration will take place in Williamson County, Texas, or by videoconference at the arbitrator’s direction. The arbitrator may award any individual remedy that would be available in court, but may not award relief for or against anyone who is not a party to the arbitration. Judgment on the award may be entered in any court of competent jurisdiction.
19.3 Exceptions
Either party may: (a) bring an eligible individual claim in small-claims court; (b) seek temporary or preliminary injunctive relief in a court of competent jurisdiction when necessary to preserve the status quo pending arbitration; or (c) seek injunctive or equitable relief in court concerning actual or threatened infringement, misappropriation, or violation of intellectual-property rights, confidentiality obligations, or computer-security rights. Nothing in these Terms prevents either party from reporting a matter to a government agency or seeking relief that applicable law allows an agency to provide.
19.4 No Class or Representative Proceedings
YOU AND PBS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION. Unless all affected parties consent in writing, the arbitrator may not combine more than one person’s claims or preside over any class, collective, consolidated, mass, or representative proceeding.
If a final decision determines that applicable law prevents enforcement of this waiver as to a particular claim or request for relief, only that claim or request for relief will be severed and may proceed in a court of competent jurisdiction; all other claims will remain subject to arbitration.
19.5 Arbitration Fees
Payment of filing, administration, and arbitrator fees will be governed by the applicable AAA rules, subject to applicable law. Each party will bear its own attorneys’ fees and costs unless the arbitrator awards them under applicable law or an enforceable agreement.
19.6 Arbitration Opt-Out
You may opt out of this arbitration agreement by emailing contact@billingsimplified.com within 30 days after the date you first accept these Terms. Your notice must include your full name, organization name, mailing address, email address, and a clear statement that you opt out of arbitration under these Terms. Opting out of arbitration will not affect the remaining Terms or your ability to use the Site.
19.7 Court Venue When Arbitration Does Not Apply
For any dispute permitted to proceed in court, you and PBS consent to the exclusive jurisdiction and venue of the state and federal courts having jurisdiction over Williamson County, Texas, and waive objections based on personal jurisdiction, venue, or inconvenient forum. Each party waives trial by jury to the maximum extent permitted by law.
20. Copyright Complaints
If you believe Site content infringes your copyright, send a written notice to contact@billingsimplified.com that includes: (a) identification of the copyrighted work; (b) identification and location of the allegedly infringing material; (c) your contact information; (d) a statement of your good-faith belief that the disputed use is not authorized; (e) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act for the copyright owner; and (f) your physical or electronic signature.
This section provides a reporting process and does not represent that PBS is a service provider required to maintain a designated agent under the Digital Millennium Copyright Act.
21. Electronic Communications
You consent to receive agreements, disclosures, notices, and other records electronically, including by posting them on the Site or sending them to the email address you provide. You agree that electronic records and signatures satisfy legal requirements that such communications be in writing, subject to applicable law.
22. Changes to These Terms
We may revise these Terms from time to time. We will post revised Terms on the Site and update the Effective Date. Changes apply prospectively when posted unless a later date is stated. If a change materially affects existing rights, we may provide additional notice as required by law. Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms. A change to the arbitration provision will not apply retroactively to a dispute of which PBS had actual notice before the change became effective.
23. Force Majeure
PBS will not be liable for delay, interruption, or failure caused by circumstances beyond its reasonable control, including natural disasters, severe weather, labor disputes, war, terrorism, civil unrest, epidemics, governmental action, utility or telecommunications failure, internet disruption, cyberattack, or failure of third-party infrastructure.
24. Assignment
You may not assign or transfer these Terms or any right under them without PBS’s prior written consent. PBS may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, change of control, or by operation of law. Any prohibited assignment is void.
25. Miscellaneous
These Terms and the incorporated Privacy Policy constitute the entire agreement between you and PBS concerning use of the Site and supersede prior or contemporaneous communications on that subject. A separate written agreement between you and a Billing Provider is independent of these Terms.
If any provision is held unlawful, invalid, or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect, subject to the specific severability rule in Section 19.4. PBS’s failure to enforce a provision is not a waiver. Headings are for convenience only. The words “including” and “includes” mean “including without limitation.” No person other than you and the PBS Parties is an intended third-party beneficiary of these Terms.
